This is a rare ground-floor moment at a company hitting its commercial inflection point. As a lean, fast-moving organization, we offer scope and ownership that larger companies can’t: your work is visible, your decisions matter, and you’ll help build the function rather than simply maintain it. You’ll partner directly with senior leadership and see a clear line between what you do and patients gaining access to a new treatment option.
You’ll own day-to-day contract and corporate governance support for a commercial-stage biopharmaceutical company, with the opportunity to expand into international corporate matters as the company scales.
WHAT YOU’LL DO
Corporate Governance & Compliance
- Prepare and maintain corporate records, including board and committee meeting materials, minutes, and resolutions.
- Maintain entity records and support subsidiary governance, including good-standing and annual filing requirements.
- Support SEC filing coordination and Section 16 processes in partnership with the General Counsel and outside counsel.
- Track corporate compliance deadlines and maintain the company’s corporate calendar.
Contract Management & Review
- Draft, review, and redline routine commercial agreements, including NDAs, vendor contracts, and consulting agreements.
- Manage the full contract lifecycle from intake through execution, routing, and storage.
- Maintain the contract management system and tracking tools, flagging renewal and expiration dates.
- Support outside counsel by preparing and organizing contract materials for more complex negotiations.
Cross-Functional Legal Support
- Partner with Finance, HR, and Commercial teams to support contract and compliance needs across the business.
- Maintain legal department files, templates, and playbooks for commonly used agreement types.
- Help scale legal operations, improve contract playbooks, and leverage legal tech and internal resources for design, implementation, and enhancement efficiency.
- Assist with due diligence support for corporate transactions as needed.
- As the role grows, support international corporate matters, including foreign subsidiary maintenance and cross-border agreements.
WHAT YOU’LL BRING
Required
- Bachelor’s degree or paralegal certificate from an ABA-approved program.
- Exposure to SEC filings, Section 16 reporting, or public company governance.
- 5+ years of experience as a corporate paralegal at a public company.
- Hands-on experience managing commercial contracts and corporate governance records.
- Strong organizational skills and comfort managing multiple deadlines independently.
- Proficiency with contract management systems and e-signature platforms.
Preferred
- Experience at a biotech or pharmaceutical company.
- Experience supporting international corporate matters or foreign subsidiaries.
- Notary public certification.

COMPENSATION
In keeping with our commitment to pay transparency, the good-faith base salary range for this role is $92,000-$120,000, with an annual target bonus of 10-15%. This role is also eligible for a meaningful equity grant, reflecting the opportunity to build lasting value at a company at a commercial inflection point. Final compensation reflects experience, skills, and location.
